General Description:

Participants will gain a beginning-to-end understanding of the business valuation process, starting with a general understanding of business valuation basics and working through to more advanced concepts. Participants will also obtain an understanding of the business valuation professional standard framework from various organizations (focusing more on CPA requirements, but touching most organizations). The impact of COVID-19 on business valuations will also be discussed.

Learning Objective:

After completing this course the participant will be able to:

  • Describe the various business valuation standards and related organizations (NACVA, AICPA, IBA, ASA, USPAP).
  • Analyze historic financial statements.
  • Compute economic/normalization adjustments.
  • Estimate future benefit stream.
  • Compare various methods for determining/calculating capitalization and discount rates.
  • Compare commonly used valuation methods:
    • Asset based;
    • Income based;
    • Market based.
  • Compute discounts for lack of marketability and lack of control.
  • Describe how the Tax Cuts and Jobs Act impacts valuation analysts.

Instructors:

Scott R. Saltzman, CPA, CVA, ASA, ABV, MAFF, of Saltzman, LLC, specializes in economic damages, business valuations, forensic accounting, and professional malpractice. Mr. Saltzman served on the Colorado State Board of Accountancy 1999-2007 and the Colorado Securities Board 2010-2016. He served on NACVA’s Valuations Board 1996-1999 and Executive Advisory Board 1999-2002, and was president of NACVA 2002-2016.
